MYTONOMY, INC. TERMS AND CONDITIONS

By using or visiting the Mytonomy, Inc. website (the "Website") and services provided to you on, from, or through the Website (collectively the "Service") you signify your agreement to these Terms of Service (these "Terms of Service") between Mytonomy, Inc. ("Mytonomy") and you. Mytonomy may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. You should periodically review the most up-to-date version at Terms and Conditions. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits. If your consent is not granted, Terms of Service will terminate. By clicking yes, you also agree to Mytonomy's privacy policy, found at Privacy Policy [hyperlinked] and incorporated herein by reference.

In consideration for your use of the Services, you hereby consent and agree to the following:

YOUR ACCOUNT, CONTENT OF OTHERS, AND USE OF THE SERVICE

To watch videos or read documents using the Services, you will need to be given an account with Mytonomy (an "Account") from your health care provider. Mytonomy is a “Business Associate” of your healthcare provider. To perform our services, your healthcare provider provides us with the necessary information to create an account, including your email. We provide you with a password, which is used to protect your Account from unauthorized access.

You affirm that you are 13 years of age or older, as the Service is not intended for anyone under 13. If you are under 13 years of age, then please do not use the Service. Should you choose to upload content, you affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service.

The text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and other materials ("Content") on the Service, and the trademarks, service marks and logos ("Marks") on the Service, are owned by or licensed to Mytonomy, subject to copyright and other intellectual property rights under the law.

You may never use another's Account without permission. You are solely responsible for the activity that occurs on your Account, and you must keep your Account password secure. You must notify Mytonomy immediately of any breach of security or unauthorized use of your Account.

You agree not to alter or modify any part of the Service. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Service in a manner that sends more request messages to the Mytonomy servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Mytonomy reserves the right to revoke these exceptions either generally or in specific cases. Mytonomy may send emails to you from time to time, reminding you of things like unwatched videos that were assigned to you by your healthcare provider.

The Service may contain links to third party websites that are not owned or controlled by Mytonomy. Mytonomy also uses third party vendors to host videos, information and manage the video upload widget. Mytonomy has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Mytonomy will not and cannot censor or edit the content of any third-party site. By using the Service, you expressly relieve Mytonomy from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware when you leave the Service and to read the terms and conditions and privacy policy of each other website that you visit.

Content is provided to you AS IS. You may access Content for your information and personal use solely as intended through the provided functionality of the Service and as permitted under these Terms of Service. You shall not download any Content. You shall not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for any other purposes without the prior written consent of Mytonomy or the respective licensors of the Content. Mytonomy and its licensors reserve all rights not expressly granted in and to the Service and the Content.

You agree not to circumvent, disable or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Service or the Content therein.

You understand that when using the Service, you will be exposed to Content from a variety of sources, and that Mytonomy is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content. If you should have any questions regarding the medical content, you should consult your healthcare provider. You further understand and acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Mytonomy with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless Mytonomy, its owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Service.

In your use of the Service, you will comply with all applicable laws.

Mytonomy may terminate your access to the Service or discontinue any aspect of the Service at any time in its sole discretion.

You understand that the Website is not intended for users outside of the United States and the Service is not intended to and may not comply with international laws.

WARRANTY DISCLAIMER

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, MYTONOMY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. MYTONOMY MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.

LIMITATION OF LIABILITY

IN NO EVENT SHALL MYTONOMY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT MYTONOMY SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

The Service is controlled and offered by Mytonomy from its facilities in the United States of America. Mytonomy makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Mytonomy, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

GENERAL

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Mytonomy without restriction. You agree that: (i) the Service shall be deemed solely based in Delaware; and (ii) the Service shall be deemed a passive website that does not give rise to personal jurisdiction over Mytonomy, either specific or general, in jurisdictions other than Delaware. These Terms of Service shall be governed by the internal substantive laws of the State of Delaware, without respect to its conflict of laws principles. Any claim or dispute between you and Mytonomy that arises in whole or in part from the Service shall be decided exclusively by a court of competent jurisdiction located in Delaware. These Terms of Service, and any other legal notices published by Mytonomy on the Service, shall constitute the entire agreement between you and Mytonomy concerning the Service. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of this these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Mytonomy's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. YOU AND MYTONOMY AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

DIGITAL MILLENNIUM COPYRIGHT ACT

If you are a copyright owner or an agent thereof and believe that any Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;

Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;

A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. You acknowledge that if you fail to comply with all of the requirements of this section, your DMCA notice may not be valid.

Counter-Notice. If you believe that your Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the material in your Content, you may send a counter- notice containing the following information to the Copyright Agent:

Your physical or electronic signature;

Identification of the Content that has been removed or to which access has been disabled and the location at which the Content appeared before it was removed or disabled;

A statement that you have a good faith belief that the Content was removed or disabled as a result of mistake or a misidentification of the Content; and

Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in the state of Delaware, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received by the Copyright Agent, Mytonomy may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed Content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the Content provider, member or user, the removed Content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Mytonomy's sole discretion.

Mytonomy Privacy Policy

Mytonomy Inc. (“Mytonomy,” “we,” or “us”) wants you to be familiar with how we collect, use and disclose information. This Privacy Policy describes our practices in connection with information that we collect:

  • Through websites operated by us, or through your provider’s patient portal, from which you are accessing this Privacy Policy (the “Websites”);
  • Through the software applications made available by us for use on or through computers and mobile devices (the “Apps”);
  • Through our social media pages located at (collectively, our “Social Media Pages”); and
  • Through HTML-formatted email messages that we send to you that link to this Privacy Policy (the “Emails”).

Collectively, we refer to the Websites, the Apps, our Social Media Pages, and the Emails as (the “Services”).

PERSONAL INFORMATION

“Personal Information” is information that identifies you as an individual or relates to an identifiable individual

  • Name
  • Telephone/cell phone number
  • Email address
  • User ID
  • Social media account ID
  • Demographic information, such as your gender, race, ethnicity.

If you are a patient using the Services at the direction of your healthcare provider, we also collect health-related information including medical condition and diagnosis, treatment, medications.

If you are an employee using the Services at the direction of your employer, we also collect employment-related information, including the name of your employer and your title.

Collection of Personal Information

We and our service providers collect Personal Information in a variety of ways, including:

  • Through the Services
    • We collect Personal Information through the Services, for example, when you register an account to access the Services and/or when you use the Services.

  • From Other Sources

    • We receive your Personal Information from other sources, including from any third party that directs you to use the Services (a “Mytonomy Customer”), for example:
      • Your healthcare provider, if you are using the Services at the direction of your healthcare provider.
      • Your employer, if you are using the Services at the direction of your employer.
      • Your virtual care management organization, if you are using one.

    • If you connect your social media account to your Services account, you will share certain Personal Information from your social media account with us, for example, your name, email address, photo, list of social media contacts, and any other information that may be or you make accessible to us when you connect your social media account to your Services account.

We need to collect Personal Information in order to provide the requested Services to you. If you do not provide the information requested, we may not be able to provide the Services.

Use and Disclosure of Personal Information Under HIPAA

If you are using the Services at the direction of a Mytonomy Customer that is subject to the Health Insurance Portability and Accountability Act (“HIPAA”), such as your healthcare provider, we will use and disclose your Protected Health Information (“PHI”) as permitted in our agreement with the Mytonomy Customer. This generally means that we will use and disclose your PHI to provide the Services, for our own internal management or as required to comply with applicable law.

Use of Personal Information

We and our service providers use Personal Information for business purposes including:

  • Providing the functionality of the Services and fulfilling your requests.
    • To provide the Services’ functionality to you, such as arranging access to your registered account, and providing you with related customer service.
    • To respond to your inquiries and fulfill your requests when you send us questions, suggestions, compliments or complaints.
    • To send administrative information to you, such as changes to our terms, conditions and policies.
    • To allow you to send messages to another person if you choose to do so.

    We will engage in these activities to manage our contractual relationship with you and/or to comply with a legal obligation.

  • Providing you with our newsletter and/or other marketing materials and facilitating social sharing
    • To send you marketing related emails, with information about our services, new products and other news about Mytonomy.
    • To facilitate social sharing functionality that you choose to use.

    We will engage in this activity with your consent or where we have a legitimate interest.

  • Analysis of Personal Information for business reporting and providing personalized services.
    • To better understand you, so that we can provide you with personalized content, as chosen by the Mytonomy Customer, such as your healthcare provider and/or employer.
    • To analyze or predict our users’ preferences in order to prepare aggregated trend reports on how our digital content is used, so we can improve our Services.
    • To better understand your preferences so that we can deliver content via our Services that we believe will be relevant and interesting to you.

    We will provide personalized services either with your consent or because we have a legitimate interest.

  • Aggregating and/or anonymizing Personal Information.
    • We may aggregate and/or anonymize Personal Information so that it will no longer be considered Personal Information. We do so to generate other data for our use, which we may use and disclose for any purpose.

  • Accomplishing our business purposes.
    • For data analysis, for example, to improve our Services.
    • For audits, to verify that our internal processes function as intended and are compliant with legal, regulatory or contractual requirements.
    • For fraud and security monitoring purposes, for example, to detect and prevent cyberattacks or attempts to commit identity theft.
    • For developing new products and services.
    • For enhancing, improving, or modifying our current products and services.
    • For identifying usage trends, for example, understanding which parts of our Services are of most interest to users.
    • For determining the effectiveness of our promotional campaigns, so that we can adapt our campaigns to the needs and interests of our users.
    • For operating and expanding our business activities, for example, understanding which parts of our Services are of most interest to our users so we can focus our energies on meeting our users’ interests.

    We engage in these activities to manage our contractual relationship with you, to comply with a legal obligation, and/or because we have a legitimate interest.

Disclosure of Personal Information

We disclose Personal Information:

  • To the Mytonomy Customer, such as your healthcare provider or employer, to provide them with information about the content that you have viewed to help gauge the effectiveness of their education program. For information on how the Mytonomy Customer uses and discloses your Personal Information, please consult the Mytonomy Customer’s privacy policy.

  • To our third party service providers, to facilitate services they provide to us.
    • These can include providers of services such as website hosting, data analysis, payment processing, information technology and related infrastructure provision, customer service, email delivery, auditing, and other services.
    • Through your social sharing activity. When you connect your Services account with your social media account, you will share information with your friends associated with your social media account, with other users, and with your social media account provider. By doing so, you authorize us to facilitate this sharing of information, and you understand that the use of shared information will be governed by the social media provider’s privacy policy.

Other Uses and Disclosures

We also use and disclose your Personal Information as necessary or appropriate, especially when we have a legal obligation or legitimate interest to do so:

  • To comply with applicable law and regulations.
    • This can include laws outside your country of residence.
  • To cooperate public and government authorities.
    • To respond to a request or to provide information we believe is important
    • These can include authorities outside your country of residence.
  • To cooperate with law enforcement.
    • For example, when we respond to law enforcement requests and orders or provide information we believe is important
  • For other legal reasons.
    • To enforce our terms and conditions; and
    • To protect our rights, privacy, safety or property, and/or that of our affiliates, you or others.
  • In connection with a sale or business transaction.
    • We have a legitimate interest in disclosing or transferring your Personal Information to a third party in the event of any reorganization, merger, sale, joint venture, assignment, transfer or other disposition of all or any portion of our business, assets or stock (including in connection with any bankruptcy or similar proceedings) Such third parties may include, for example, an acquiring entity and its advisors.

OTHER INFORMATION

“Other Information” is any information that does not reveal your specific identity or does not directly relate to an identifiable individual

  • Browser and device information
  • App usage data
  • Information collected through cookies, pixel tags, log files, and other technologies
  • Demographic information and other information provided by you that does not reveal your specific identity
  • Information that has been aggregated in a manner such that it no longer reveals your specific identity

If we are required to treat Other Information as Personal Information under applicable law, then we may use and disclose it for the purposes for which we use and disclose Personal Information as detailed in this Policy.

Collection of Other Information

We and our service providers may collect Other Information in a variety of ways, including:

  • Through your browser or device
    • Certain information is collected by most browsers or automatically through your device, such as your Media Access Control (MAC) address, computer type (Windows or Mac), screen resolution, operating system name and version, device manufacturer and model, language, Internet browser type and version and the name and version of the Services (such as the App) you are using. We use this information to ensure that the Services function properly.

  • Through your use of the App
    • When you download and use the App, we and our service providers may track and collect App usage data, such as the date and time the App on your device accesses our servers and what information and files have been downloaded to the App based on your device number.

  • Using cookies
    • Cookies are pieces of information stored directly on the computer that you are using. Cookies allow us to collect information such as browser type, time spent on the Services, pages visited, language preferences and other traffic data. We and our service providers use the information for security purposes, to facilitate navigation, to display information more effectively, and to personalize your experience. We also gather statistical information about use of the Services in order to continually improve their design and functionality, understand how they are used and assist us with resolving questions regarding them. We do not currently respond to browser do-not-track signals. If you do not want information collected through the use of cookies, most browsers allow you to automatically decline cookies or be given the choice of declining or accepting a particular cookie (or cookies) from a particular website. You may also wish to refer to http://www.allaboutcookies.org/manage-cookies/index.html. If, however, you do not accept cookies, some features of the Website and Service may not work or may not work as designed.

  • Using pixel tags and other similar technologies
    • Pixel tags (also known as web beacons and clear GIFs) may be used to, among other things, track the actions of users of the Services (including email recipients), measure the success of our engagement campaigns, and compile statistics about usage of the Services and response rates.

    • Analytics. We use Google Analytics, which uses cookies and similar technologies to collect and analyze information about use of the Services and report on activities and trends. This service may also collect information regarding the use of other websites, apps and online resources. You can learn about Google’s practices by going to www.google.com/policies/privacy/‌partners/, and opt out of them by downloading the Google Analytics opt-out browser add-on, available at https://tools.google.com/dlpage/gaoptout.

  • IP Address
    • Your IP address is automatically assigned to your computer by your Internet Service Provider. An IP address may be identified and logged automatically in our server log files whenever a user accesses the Services, along with the time of the visit and the page(s) that were visited. Collecting IP addresses is standard practice and is done automatically by many websites, applications and other services. We use IP addresses for purposes such as calculating usage levels, diagnosing server problems and administering the Services. We may also derive your approximate location from your IP address.

  • Physical Location
    • We may collect the physical location of your device by, for example, using satellite, cell phone tower or WiFi signals. We may use your device’s physical location to inform the Mytonomy Customer of where you consumed their patient/staff education (i.e. at home or in the hospital).

Uses and Disclosures of Other Information

We may use and disclose Other Information for any purpose, except where we are required to do otherwise under applicable law. In some instances, we may combine Other Information with Personal Information. If we do, we will treat the combined information as Personal Information as long as it is combined.

SECURITY

We seek to use reasonable organizational, technical and administrative measures to protect Personal Information within our organization. Unfortunately, no data transmission or storage system can be guaranteed to be 100% secure. If you have reason to believe that your interaction with us is no longer secure, please immediately notify us in accordance with the “Contacting Us” section below.

CHOICES AND ACCESS

Your choices regarding our use and disclosure of your Personal Information

If you no longer want to receive text messages from us, you can reply to the message with “STOP” or “UNSUBSCRIBE.”

We will try to comply with your request(s) as soon as reasonably practicable.

How you can access, change or delete your Personal Information

If you would like to request to review, correct, update, restrict or delete Personal Information, object to the processing of Personal Information, or if you would like to request to receive an electronic copy of your Personal Information for purposes of transmitting it to another company (to the extent this right to data portability is provided to you by applicable law), you may contact us by emailing us at privacy@mytonomy.com or mailing us at 4550 Montgomery Ave. Suite 200, Bethesda, MD 20814. You may also updated or correct your Personal Information by visiting your Account profile page. We will respond to your request consistent with applicable law.

In your request, please make clear what Personal Information you would like to have changed, whether you would like to have your Personal Information suppressed from our database.
